OVERVIEW

Welcome to Key Pop. In these Terms of Service, the terms “we”, “us” and “our” refer to Key Pop.

We operate this website and online store, including all related information, content, features, tools, products and services made available through it (the “Services”). Our store is hosted on Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies or documents referenced in them, including our Privacy Policy and Refund Policy, set out the terms on which you may access and use our Services.

By accessing or using our Services, you agree to be bound by these Terms of Service and our policies. If you do not agree, you must not use our Services.

Nothing in these Terms excludes, restricts or modifies any rights you may have under the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted or modified.

1. ACCESS AND USE OF OUR SERVICES

By using our Services, you represent that you are at least the age of majority in your state or territory of residence, or that you are using the Services with the involvement and consent of a parent or legal guardian.

You agree to use our Services only for lawful purposes and in accordance with these Terms.

If you create an account, you are responsible for maintaining the confidentiality of your account details and for all activity that occurs under your account. You must ensure that all information you provide to us is accurate, current and complete.

We may suspend or restrict access to all or part of the Services if we reasonably believe you have breached these Terms or used the Services unlawfully.

2. PRODUCTS

We make reasonable efforts to ensure that product descriptions, images and other content on our store are accurate.

However:

  • colours and appearance may vary depending on your device screen and settings

  • some products may vary slightly from the images shown, particularly where products are handmade, customised or made to order

  • all product descriptions, prices and availability are subject to change without notice, to the extent permitted by law

We reserve the right to discontinue products at any time and to limit the quantities of any products offered.

3. CUSTOMISED AND PERSONALISED PRODUCTS

Some of our products are customised, personalised or made to order.

You are responsible for ensuring that any names, letters, numbers, symbols, selections or other customisation details submitted with your order are correct before placing your order.

We are not responsible for errors in personalisation details provided by you, unless the error was caused by us.

Custom or personalised products may not be eligible for change-of-mind returns, as set out in our Refund Policy. However, this does not affect any rights you may have under the Australian Consumer Law.

4. ORDERS

When you place an order, you are making an offer to purchase the products in your cart.

All orders are subject to acceptance by us. We may decline or cancel an order where reasonably necessary, including where:

  • a product is unavailable

  • there is an error in pricing or product information

  • we suspect fraud, misuse or unauthorised activity

  • we are unable to process payment

  • the order breaches these Terms

If we cancel an order after payment has been processed, we will refund the amount paid using the original payment method unless otherwise agreed.

Please review your order carefully before submitting it. Once an order for a personalised or custom item has entered production, we may not be able to change or cancel it.

5. PRICES AND PAYMENT

All prices on our store are listed in Australian dollars (AUD) unless otherwise stated.

Prices may change from time to time without notice. The price payable for your order will be the price displayed at checkout at the time your order is placed.

Unless otherwise stated, prices may exclude shipping charges, which will be shown at checkout.

You agree to provide current, complete and accurate billing, shipping and payment information for all purchases made through our store.

If a pricing error occurs, we reserve the right to cancel or refuse any order placed for the incorrectly priced item, to the extent permitted by law. If payment has already been taken, we will provide a refund.

6. SHIPPING AND DELIVERY

We will make reasonable efforts to dispatch orders within the timeframes stated on our website, where applicable.

Delivery timeframes are estimates only and are not guaranteed. Delays may occur due to postal carriers, customs, peak periods, weather events or other causes outside our reasonable control.

Risk in the products passes to you on delivery to the address nominated in your order, to the extent permitted by law.

Title in the products passes to you once full payment has been received and the products have been dispatched, unless otherwise required by law.

Nothing in this section limits any rights you may have under the Australian Consumer Law if goods are lost, damaged, faulty or not supplied as required.

7. RETURNS, REFUNDS AND EXCHANGES

Our returns, refunds and exchanges are governed by our Refund Policy.

Our Refund Policy sets out our 14-day change-of-mind return policy and explains when returns are accepted for customised items, sale items, damaged items and faulty products.

Nothing in these Terms or our Refund Policy excludes or limits any rights you may have under the Australian Consumer Law.

8. INTELLECTUAL PROPERTY

All content on our Services, including text, graphics, logos, icons, images, product names, designs, layout, and other materials, is owned by or licensed to Key Pop and is protected by applicable intellectual property laws.

You may use the Services for your personal, non-commercial use only.

You must not, without our prior written consent:

  • reproduce, copy, distribute, publish or exploit any content from our Services

  • use our brand name, logo or product images for commercial purposes

  • create derivative works from our content

  • use our content in a way that suggests endorsement or association by us where none exists

All rights not expressly granted are reserved.

9. THIRD-PARTY TOOLS AND LINKS

Our Services may include access to third-party tools, apps, integrations or links to third-party websites.

We do not control and are not responsible for the content, policies, products or services of third parties. Your use of any third-party website or service is at your own risk and subject to the third party’s own terms and policies.

10. SHOPIFY

Our store is hosted by Shopify. Shopify provides the e-commerce platform that enables us to sell our products and services to you.

However, any purchase you make through our store is made directly with Key Pop, not with Shopify. To the extent permitted by law, Shopify is not responsible for the products sold through our store or for transactions between you and us.

11. PRIVACY

Your submission of personal information through the store is governed by our Privacy Policy.

Because our store is hosted by Shopify, some personal information may also be collected, processed and stored by Shopify and its service providers in accordance with Shopify’s systems and policies.

12. FEEDBACK, REVIEWS AND USER CONTENT

If you submit reviews, comments, suggestions, ideas, testimonials, images or other content to us, you grant us a non-exclusive, worldwide, royalty-free, perpetual licence to use, reproduce, publish, display, edit and distribute that content for the purpose of operating, marketing and improving our business and Services.

You confirm that:

  • you own or control the rights to any content you submit

  • your content is accurate and not misleading

  • your content does not infringe any third-party rights

  • your content does not contain unlawful, abusive, defamatory, obscene or harmful material

We may remove or refuse to publish content at our discretion.

13. ERRORS AND OMISSIONS

Occasionally there may be information on our site that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, shipping charges, delivery times or availability.

We reserve the right to correct such errors and to update information or cancel orders where necessary, to the extent permitted by law.

14. PROHIBITED USES

You must not use the Services:

  • for any unlawful purpose

  • to breach any applicable laws or regulations

  • to infringe our intellectual property rights or the rights of others

  • to upload or transmit malicious code, viruses or harmful material

  • to scrape, harvest or extract data from the Services without our written consent

  • to interfere with the operation or security of the Services

  • to engage in fraudulent, deceptive or misleading conduct

  • to impersonate another person or entity

We may suspend or terminate access to the Services if we reasonably believe you have engaged in prohibited use.

15. AGENTS AND AUTOMATED ACCESS

You must not use bots, crawlers, scrapers, automated scripts, AI agents or similar tools to access, monitor, copy or interact with our Services without our prior written permission, except where such use is permitted by law and does not interfere with the operation of the Services.

We may implement technical measures to detect, limit or block automated access.

16. TERMINATION

We may suspend or terminate your access to the Services at any time if we reasonably consider that you have breached these Terms, acted unlawfully, or misused the Services.

Termination does not affect any rights or obligations that accrued before termination.

17. DISCLAIMER

To the extent permitted by law, we do not guarantee that:

  • the Services will always be available, uninterrupted, secure or error-free

  • the website will be free from bugs, viruses or harmful components

  • product images and on-screen colours will display exactly the same on every device

The information on our Services is provided for general information only. While we take reasonable care, we do not guarantee that all information is always accurate, complete or current.

Nothing in these Terms excludes, restricts or modifies any consumer guarantees, statutory warranties, or other rights that cannot lawfully be excluded under the Australian Consumer Law.

18. LIMITATION OF LIABILITY

To the maximum extent permitted by law, we exclude all liability for indirect, incidental, special or consequential loss, including loss of profit, loss of revenue, loss of opportunity or loss of data.

To the extent that liability cannot be excluded but can be limited, our liability is limited to the fullest extent permitted by law.

Nothing in these Terms limits or excludes liability:

  • for rights and remedies available under the Australian Consumer Law

  • for fraud or wilful misconduct

  • where liability cannot lawfully be excluded or limited

Where goods or services supplied by us are not of a kind ordinarily acquired for personal, domestic or household use or consumption, and it is lawful for us to do so, our liability for breach of a consumer guarantee is limited, at our option, to:

  • in the case of goods: replacement, repair, payment of the cost of replacement or repair

  • in the case of services: resupply of the services or payment of the cost of resupply

19. INDEMNITY

To the extent permitted by law, you agree to indemnify us against claims, losses, liabilities, damages and expenses arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or the rights of a third party.

This clause does not apply to the extent that the claim, loss or damage was caused by our own negligence, fraud or wilful misconduct.

20. SEVERABILITY

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

21. WAIVER

If we do not exercise or enforce a right under these Terms, that does not constitute a waiver of that right.

22. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Refund Policy and any other policies posted on our website, constitute the entire agreement between you and us regarding your use of the Services.

23. GOVERNING LAW

These Terms are governed by the laws of New South Wales, Australia.

You submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia and any courts entitled to hear appeals from those courts.

24. CHANGES TO THESE TERMS

We may update these Terms from time to time by publishing the revised version on our website.

Any changes will take effect when posted, unless otherwise required by law. Your continued use of the Services after updated Terms are posted constitutes acceptance of those changes.
